TrustBank Annual Shareholders' Meeting

(April 18, 2011)

The Annual Shareholders’ meeting of Rich Land Bancorp, Inc. and its wholly owned subsidiary, TrustBank, was held on Monday April 18, 2011, at 10:00 a.m.  Bruce Runyon, President and Chief Executive Officer of TrustBank, reported that the total assets at December 31, 2010 were $167,086,000 – representing a 4.13% increase in the 12 month period.  A review of the current state of the company was provided detailing the recent strategies of accomplishing TrustBank’s vision of:  “Providing Premier Financial Products with Superior Service”.

The following were elected to the Board of Directors:  Charles W. Diel, Daniel G. Eagleson, C.L. Glover, Jr., Robert J. Glovitz, John S. Kermicle, Gregory T. Kuenstler, Bruce A. Runyon, Steven L. Schonert, Edward E. Shake and Michael J. Thomas.

The Directors appointed the following officers at the Organizational Meeting:  Chairman of the Board, C.L. Glover, Jr.; President and CEO, Bruce A. Runyon; Executive Vice President/Chief Risk Officer, Deborah A. Mitchell; Chief Financial Officer, Emily J. Stephenson; Chief Operations Officer, Jason M. Kern; Senior Vice President, Larry F.
