TrustBank Annual Shareholders’ Meeting
April 19, 2010


The Annual Shareholders’ meeting of Rich Land Bancorp, Inc. and its wholly owned subsidiary, TrustBank, was held on Monday April 19, 2010, at 10:00 a.m.  Bruce Runyon, President and Chief Executive Officer of TrustBank, reported that the total assets at December 31, 2009 were $160,462,000 – representing a 3.32% increase in the 12 month period.  A review of the current state of the company was provided detailing the recent strategies of accomplishing TrustBank’s vision of:  “Providing Premier Financial Products with Superior Service”.

The following were elected to the Board of Directors:  Charles W. Diel, Daniel G. Eagleson, C.L. Glover, Jr., Robert J. Glovitz, John S. Kermicle, Gregory T. Kuenstler, Bruce A. Runyon, Steven L. Schonert, Edward E. Shake and Michael J. Thomas.

The Directors appointed the following officers at the Organizational Meeting:  Chairman of the Board, C.L. Glover, Jr.; President and CEO, Bruce A. NOTICE OF CHANGES IN TEMPORARY FDIC INSURANCE
COVERAGE FOR TRANSACTION ACCOUNTS

All funds in a "noninterest-bearing transaction account" are insured in full by the Federal Deposit Insurance Corporation from December 31, 2010, through December 31, 2012. This temporary unlimited coverage is in addition to, and separate from, the coverage of at least $250,000 available to depositors under the FDIC's general deposit insurance rules.

The term "noninterest-bearing transaction account" includes a traditional checking account or demand deposit account on which the insured depository institution pays no interest. It also includes Interest on Lawyers Trust Accounts ("IOLTAs"). It does not include other accounts, such as traditional checking or demand deposit accounts that may earn interest, NOW accounts and money-market deposit accounts.
